What it means
The payee (BG-10) is the party that receives the payment when that is not the seller. This rule checks that the payee's legal entity block has no cac:ShareholderParty, a party block describing a shareholder of the payee's company. The standard has no place for it.
Why it matters
The recipient's software only reads the fields defined by the standard, so shareholder details are ignored. Because the rule is a warning, the invoice or credit note is not rejected. It is also company information that has no use on an invoice.
How to fix it
Open the payee settings in your invoicing software and remove any shareholder or ownership entry, or switch off the option that adds it. If you build the XML yourself, delete cac:ShareholderParty from cac:PayeeParty/cac:PartyLegalEntity. The payee's name, identifier and registration number can stay.
